Structure Stress? L3C, LLC, S Corp., and B Corp. – What’s the best business entity structure for you?
The session will provide an overview of the more commonly used business entities and their respective advantages and disadvantages. A significant portion of the discussion will focus on entities such as benefit corporations, low-profit limited liability companies and other entities that are well-suited for socially responsible or mission-oriented businesses. Time permitting, the session will conclude with a discussion of common legal issues for young businesses.

Drew is a business and health law attorney with Dunkiel Saunders, a mission-driven law firm located in Burlington, Vermont. He works with companies of all sizes, as well as individuals interested in starting a business, to formulate and implement business strategies, to identify and manage risks and to navigate a wide range of business law and transactional issues. In his health care practice, Drew advises health care providers including physicians and physician practices, hospitals, health clinics, residential care, assisted living and nursing facilities, and home health and hospice providers, with respect to transactional matters and regulatory compliance. Prior to joining Dunkiel Saunders, Drew worked for prestigious law firms in Burlington, Vermont and in Boston, Massachusetts, as a business and health care attorney, and clerked for Justice John Dooley of the Vermont Supreme Court. Drew holds a B.A. in Political Science from Stanford University, an M.A. in Political Science from the University of North Carolina at Chapel Hill, and a J.D. from Boston College Law School. Drew also serves as co-chair of the Vermont Bar Association’s Health Law Section.
